These Terms of Service (“Terms”) govern your access to and use of the BIZA Shoes website, online store, products, content, features, tools, and related services (collectively, the “Services”).

The Services are operated by Tribute Retail Inc., doing business as BIZA Shoes (“BIZA Shoes,” “BIZA,” “we,” “us,” or “our”). Our online store is powered by Shopify.

By visiting, accessing, interacting with, creating an account on, or purchasing through the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

These Terms are intended primarily for customers located in the United States. Nothing in these Terms limits any consumer right or remedy that cannot lawfully be waived under applicable federal, state, or local law.

1. Eligibility and Accounts

You must be at least 18 years old or the age of legal majority in your state of residence to make a purchase through the Services. If you permit a minor to access the Services using a device or account you control, you are responsible for that use to the extent permitted by law.

You may be asked to provide information including your name, email address, billing information, payment information, shipping address, and telephone number. You agree that information you provide will be accurate, current, and complete.

If you create an account, you are responsible for maintaining the confidentiality and security of your credentials and for activity conducted through your account. You must promptly notify us if you believe your account has been accessed without authorization.

You may not sell, transfer, assign, or license your account to another person.

2. Products and Product Information

We make reasonable efforts to accurately describe and display our footwear and other products. Product colors, textures, materials, finishes, proportions, and appearance may vary depending on photography, lighting, screen settings, manufacturing tolerances, natural material variations, and other factors.

Leather, suede, cork, textiles, and other natural or manufactured materials may have normal variations in color, grain, texture, or finish. These variations are not necessarily defects.

Product descriptions, features, materials, colors, availability, sizing, and specifications may be updated or changed without notice.

We may discontinue products or limit quantities available for purchase at any time.

Sizing and fit information is provided as a general guide. Fit can vary by style, foot shape, materials, and personal preference.

3. Orders and Acceptance

Placing an order is an offer to purchase the products in your cart. An automated order confirmation acknowledges that we received your order but does not necessarily mean that we have accepted it.

We may accept, decline, limit, or cancel an order when reasonably necessary, including because of product unavailability, suspected fraud or unauthorized activity, errors in product, pricing, discount, inventory, or shipping information, payment authorization problems, quantity limits, resale or export concerns, or other circumstances permitted by applicable law.

If we cancel an order after payment has been captured, we will refund the applicable amount to the original payment method, subject to payment-network processing times.

Please review your order carefully before submitting it. Once an order enters fulfillment, we may be unable to change or cancel it.

Unless BIZA expressly agrees otherwise in writing, products purchased through the consumer website are intended for personal or household use and not for commercial resale.

4. Prices, Discounts, Taxes, and Payment

Prices are shown in U.S. dollars unless otherwise stated.

The price charged will be the price displayed and applicable to your order at the time the order is submitted, subject to correction of genuine errors as permitted by law.

Any mandatory BIZA-imposed fee that must be paid to purchase a product will be included in the displayed product price where required by applicable law. Government-imposed taxes and reasonable shipping or postage charges may be shown separately where permitted by law.

Sales tax and other government-imposed taxes are calculated and collected where required based on applicable law and information associated with the transaction.

Promotions, coupons, discount codes, sale prices, and special offers may be subject to separate terms, eligibility requirements, expiration dates, exclusions, quantity limits, or other conditions. Unless expressly stated otherwise, promotions cannot be combined.

Prices and promotions offered on bizashoes.com may differ from prices or promotions offered by independent retailers, marketplaces, or other third-party sellers.

You authorize us and our payment processors to charge the payment method you provide for amounts associated with your order. You represent that you are authorized to use that payment method.

5. Shipping, Fulfillment, and Delivery

Shipping methods, estimated fulfillment times, estimated delivery times, and applicable shipping charges will be presented through the Services or our Shipping Policy.

Delivery dates and transit times are estimates unless expressly stated as guaranteed.

We will make reasonable efforts to ship orders within the time stated at purchase. If we cannot ship within the promised timeframe, or within the period required by applicable law when no timeframe is stated, we will provide any delay notice, consent option, cancellation right, or refund required by applicable law.

We are not responsible for carrier delays, weather events, natural disasters, governmental actions, labor disruptions, incorrect shipping information supplied by the customer, or other events outside our reasonable control, except where applicable law provides otherwise.

Unless applicable law requires a different result, title and risk of loss for consumer orders pass to you upon delivery to the shipping address specified in your order.

If tracking indicates a package is lost, damaged, misdelivered, or delivered but you cannot locate it, contact BIZA customer service promptly so we can review available carrier and order remedies.

6. Returns, Exchanges, and Refunds

Purchases are subject to our current Refund and Return Policy, which is incorporated into these Terms by reference and should be linked from our website footer and checkout.

The Refund and Return Policy will identify applicable return periods, product-condition requirements, exclusions, return shipping responsibility, and refund procedures.

If applicable federal, state, or local law gives you a return, refund, replacement, warranty, or cancellation right that is greater than the right stated in our policy, the applicable law controls.

Refund processing times may vary depending on your bank, card issuer, payment provider, shipping time, and other factors outside our control.

7. Product Warranties and Consumer Rights

Products may be subject to express written warranty terms if BIZA provides a written warranty for the applicable product. Any such written warranty is separate from these Terms and will govern the warranty coverage it describes.

Nothing in these Terms is intended to disclaim, restrict, or shorten any implied warranty, statutory warranty, product-liability right, or other consumer protection that cannot legally be disclaimed or limited.

Statements made in product descriptions, advertising, packaging, written warranty materials, or other BIZA communications may create rights under applicable law. Nothing in these Terms eliminates any legally enforceable express warranty.

8. Promotions and Special Offers

We may offer promotions, contests, sweepstakes, giveaways, loyalty benefits, referral offers, or other programs from time to time.

Separate rules may apply. If specific promotion rules conflict with these Terms, the specific promotion rules will control for that promotion.

We reserve the right to cancel, suspend, modify, or limit a promotion when permitted by law, including in response to fraud, abuse, technical problems, inventory limitations, or errors.

9. Reviews, Feedback, Photos, and Other User Content

If you submit a product review, rating, photograph, video, testimonial, suggestion, idea, comment, or other content (“User Content”), you retain any ownership rights you have in that content, but you grant BIZA a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, adapt, publish, display, distribute, and otherwise use the User Content in connection with our business, marketing, advertising, products, and Services, subject to applicable privacy and consumer-protection laws.

You represent that the User Content reflects your genuine experience or opinion when presented as a review or testimonial; that you own it or have permission to provide it; that it does not infringe another person’s rights; and that you will disclose any compensation, free product, discount, incentive, or other material relationship when required by law.

We may moderate or remove User Content when reasonably necessary to enforce these Terms or applicable law. We will not require a consumer review to express a positive sentiment as a condition of receiving an incentive.

10. Intellectual Property

The Services and their content—including BIZA names, trademarks, logos, product names, slogans, photographs, product imagery, graphics, text, videos, designs, page layouts, software, and other materials—are owned by or licensed to Tribute Retail Inc. and are protected by applicable U.S. and international intellectual-property laws.

Except as expressly authorized by us, you may use the Services only for personal, non-commercial purposes.

You may not reproduce, copy, distribute, scrape, download in bulk, republish, modify, create derivative works from, publicly display, sell, license, exploit, or commercially use BIZA content without our prior written permission, except to the extent such restriction is prohibited by law.

“BIZA,” “BIZA Shoes,” our logos, and other BIZA brand identifiers may not be used in a manner that suggests sponsorship, endorsement, affiliation, or authorization without our written permission.

11. Third-Party Services and Links

The Services may integrate with or link to third-party services, websites, applications, payment providers, social networks, marketplaces, analytics providers, advertising services, or other platforms.

Third parties operate under their own terms and privacy practices. Except where the law provides otherwise, BIZA is not responsible for third-party websites, services, content, security practices, or independent transactions.

12. Shopify

Our online store is powered by Shopify. Purchases from the BIZA online store are transactions between you and Tribute Retail Inc., doing business as BIZA Shoes, not Shopify.

Shopify provides ecommerce technology and related services that help us operate the store. Shopify may process information as described in applicable Shopify privacy materials and our Privacy Policy.

Nothing in these Terms makes Shopify the seller of BIZA products.

13. Privacy and U.S. State Privacy Rights

Our collection, use, disclosure, retention, and processing of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Depending on where you live and whether an applicable state privacy law covers our activities, you may have rights concerning access, correction, deletion, portability, sale or sharing of personal information, targeted advertising, certain profiling, sensitive data, or the right to appeal a privacy decision.

Our Privacy Policy should describe the rights that apply, how to exercise them, and the methods available for privacy requests.

Where required by law, we will honor applicable recognized opt-out preference signals and provide required privacy choices.

14. Electronic Communications

When you place an order, create an account, or contact us electronically, you consent to receive transactional communications from us electronically, such as order confirmations, shipping notices, account notices, customer-service communications, policy notices, and legally required disclosures.

Marketing email or text messages are subject to separate consent requirements and applicable law. Transactional use of the Services does not by itself authorize marketing messages where separate consent is required.

15. Prohibited Uses

You may not use the Services to violate any law; engage in fraud, deception, impersonation, or unauthorized transactions; infringe intellectual property or privacy rights; introduce malware; circumvent security controls; interfere with the operation of the Services; harvest personal information without authorization; send unlawful spam; exploit pricing or checkout errors; or use stolen or unauthorized payment credentials.

We may restrict or terminate access when we reasonably believe these Terms or applicable law have been violated.

16. Automated Systems, Bots, Scraping, and AI Agents

Automated access to the Services—including by bots, spiders, crawlers, scraping tools, data-extraction systems, browser automation, or autonomous or semi-autonomous AI agents—is prohibited unless expressly authorized by BIZA or permitted by applicable law.

An authorized automated agent must accurately identify itself when technically required by BIZA, must not impersonate a human, must not circumvent CAPTCHAs or technical restrictions, and must comply with BIZA’s applicable technical access rules.

We may use reasonable technical measures to manage, limit, block, or revoke automated access.

17. Errors and Corrections

The Services may occasionally contain typographical errors, inaccurate inventory information, incorrect pricing, incorrect promotional information, product-description errors, or other mistakes.

To the extent permitted by law, we may correct errors and update information. If an error materially affects an order you already placed, we may contact you, cancel the affected order or item, and issue an appropriate refund where required.

Nothing in this section allows us to engage in deceptive pricing or to avoid a consumer right provided by law.

18. Website Availability and Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, DIGITAL FEATURES, AND ONLINE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

THIS WEBSITE DISCLAIMER DOES NOT ELIMINATE OR LIMIT ANY EXPRESS PRODUCT WARRANTY, IMPLIED WARRANTY, PRODUCT-LIABILITY RIGHT, OR OTHER CONSUMER RIGHT THAT CANNOT LEGALLY BE DISCLAIMED OR LIMITED.

Some states do not permit certain warranty exclusions, so portions of this section may not apply to you.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZA, TRIBUTE RETAIL INC., AND THEIR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZA’S AGGREGATE LIABILITY ARISING FROM A PRODUCT PURCHASE OR TRANSACTION WILL NOT EXCEED THE AMOUNT YOU PAID TO BIZA FOR THE PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot legally be limited or excluded, including where applicable claims involving personal injury, product liability, fraud, gross negligence, willful misconduct, statutory consumer rights, or other non-waivable rights.

20. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Tribute Retail Inc., BIZA Shoes, and their affiliates, directors, officers, employees, and agents from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful misuse of the Services, your infringement of another person’s rights, or User Content you submit in violation of these Terms.

This section does not require you to indemnify BIZA for BIZA’s own negligence, wrongdoing, product defect, breach of law, or conduct for which indemnification cannot legally be required.

21. Force Majeure

To the extent permitted by law, we are not responsible for delays or failures caused by circumstances beyond our reasonable control.

This provision does not eliminate any refund, cancellation, shipment-delay, or other right that applicable law requires us to provide.

22. Suspension and Termination

We may suspend, restrict, or terminate access to the Services when reasonably necessary to protect the Services, customers, BIZA, or third parties; investigate suspected fraud; enforce these Terms; or comply with law.

23. Governing Law and Venue

These Terms and your use of the Services are governed by the laws of the State of California and applicable federal law, without regard to California conflict-of-law principles.

However, if you are a consumer residing in another U.S. state, this choice of law does not deprive you of any mandatory consumer protection provided by the law of your state that cannot legally be waived by contract.

Subject to any applicable non-waivable consumer right concerning jurisdiction or venue, disputes may be brought in the state courts located in Sonoma County, California or, when federal jurisdiction exists, the United States District Court for the Northern District of California.

Nothing in these Terms prevents either party from bringing an eligible matter in small claims court.

24. State-Specific Consumer Protections

BIZA sells to consumers in multiple U.S. states. Consumer-protection, warranty, privacy, pricing, returns, automatic-renewal, and other laws may differ by state.

If a provision of these Terms conflicts with a mandatory law applicable to you, the mandatory law controls and the conflicting provision will be interpreted or limited only to the extent necessary to comply with that law.

Nothing in these Terms is intended to waive non-waivable consumer, warranty, privacy, refund, product-safety, fraud, or other statutory rights.

25. California Pricing and Consumer Notice

For California consumers, any advertised or listed product price will include mandatory BIZA-imposed charges that California law requires to be included in the advertised price. Applicable government taxes and reasonable shipping or postage charges may be stated separately where allowed by law.

26. Changes to These Terms

We may revise these Terms to reflect changes in our Services, business practices, technology, or legal requirements.

Updated Terms will be posted with a revised “Last Updated” date. We will provide additional notice of material changes when required by law.

Changes apply prospectively and will not retroactively change the terms governing a completed transaction unless permitted by law or agreed to by the affected customer.

27. Severability

If any provision is held unlawful, invalid, or unenforceable, it will be enforced to the greatest extent permitted or severed to the minimum extent necessary, and the remaining provisions will remain effective.

28. Waiver and Entire Agreement

Our failure to enforce a provision is not a waiver.

These Terms, together with our Privacy Policy, Refund and Return Policy, Shipping Policy, applicable promotion rules, and applicable product warranty terms, constitute the agreement governing use of the Services and purchases from the BIZA online store, subject to rights that cannot legally be waived.

29. Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent.

We may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or other lawful business transaction, subject to applicable law.
